Terms of Service

1. Acceptance

By creating an account or using Ratlok (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Ratlok is a marketplace where invited creators upload AI-generated images and offer usage licenses for sale. Buyers acquire a license — not copyright — under the License Terms applicable to each transaction. The Service is provided by ratlok.com (the "Platform Operator").

3. Eligibility & accounts

You must be at least 18 years old to create an account. Creator status is invite-only during beta. You are responsible for maintaining the confidentiality of your credentials.

4. Creator obligations

  • You must own each asset you list, or have all rights necessary to grant the licenses offered.
  • Listings must not contain trademarks, real persons without releases, CSAM, or content prohibited by the Acceptable Use Policy.
  • You agree to the attestations captured at upload, which are recorded with timestamp and a hashed IP.

5. Buyer obligations

Buyers receive only the rights expressly granted by the applicable License Terms. Resale of the file is prohibited under both the Personal and Commercial licenses.

6. Fees and payouts

Ratlok takes a platform fee (currently 15% of sale price) on each transaction. Fees may change with notice. Stripe processing fees apply to creators in addition. Payouts are managed by Stripe Connect.

7. All sales final

All sales are final. Ratlok does not offer voluntary refunds, exchanges, or returns on digital purchases. Watermarked previews are provided so buyers can evaluate every listing before purchase. By completing checkout, you expressly request immediate access to a digital download, acknowledge the immediate, non-cancellable nature of that delivery, and waive any cooling-off period that would otherwise apply to consumer digital purchases. Stripe-mediated chargebacks remain available through your card issuer.

8. Moderation, takedowns, and DMCA

Ratlok may remove content that violates these Terms or the Acceptable Use Policy. Copyright complaints are handled per the DMCA Policy. Repeat infringers are subject to the Repeat Infringer Policy.

9. AI-generated content disclosure

All listings on Ratlok are AI-generated. AI-generated images are not subject to copyright under current US law (Thaler v. Perlmutter, D.C. Cir. 2025). Ratlok sells a contractual license, not copyright.

10. Disclaimers and liability

The Service is provided "as is." To the maximum extent permitted by law, Ratlok disclaims warranties and limits liability to the fees paid in the 12 months preceding the claim.

11. Termination

Either party may terminate at any time. Ratlok may suspend accounts for violation of these Terms or for failure of Stripe Connect verification.

12. Governing law

These Terms are governed by the laws of the State of [STATE TBD], excluding conflict-of-law rules. Disputes are resolved by binding arbitration except where prohibited by law.
